Please read these terms and conditions carefully before using Our Services. These Terms & Conditions (“Terms” or “Agreement”) govern your access to and use of the URep Abroad website (www.urepabroad.com), and all services offered by URep Abroad (hereinafter “Company,” “we,” “our,” or “URep”), including but not limited to:

• Intercultural training for students, faculty, and staff

• International education program development and design

• Global education staffing support and partnerships

Binding Agreement

By accessing our website, requesting our services, completing a Service Inquiry Form, or entering into a Service Agreement with us, you (“Client, “Organization,” “Participant,” “You,” or “your”) agree to be legally bound by these Terms, our Privacy Policy, and any additional agreements referenced herein. If you do not agree to these Terms in their entirety, you may not use our website or services.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Exclusive jurisdiction and venue for any legal action or proceeding arising out of or related to these Terms, your use of our website, or our services shall be in the state or federal courts located in California. You hereby irrevocably consent to the jurisdiction of such courts and waive any objection based on inconvenient forum.

Modification of Terms

We reserve the right to modify these Terms at any time, effective upon posting the revised Terms to our website. Your continued use of our website or services following the posting of revised Terms constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms regularly for changes. We will make reasonable efforts to notify you of material changes via email (if you have provided one).

Definitions


For the purposes of these Terms and Conditions:

Company: referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to URep Abroad LLC, its employees, representatives, and any authorized subcontractors.

Confidential Information: Non-public information shared by either party related to business operations, proprietary methods, participant data, or strategic plans.

Content: refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You, regardless of the form of that content.

Client / Organization / Host: the educational institution, college, university, nonprofit, or business entity requesting and receiving services from URep Abroad.

Deliverables: reports, curriculum, training materials, recommendations, assessments, and other outputs.

Device: any device that can access the Service, such as a computer, a cellphone, or a digital tablet.

Intellectual Property (“IP”): all copyrights, trademarks, patents, trade secrets, and proprietary methods developed before, during, or after service delivery.

Participant: an individual (student, staff, faculty, leader, or other person) enrolled in or attending a URep Abroad program, training, or Service.

Partners: refers to third-party organizations, companies, colleges, universities, and other educational entities that have agreed to use URep Abroad Services and/or the Partnership Agreement.

Program / Project: a specific intercultural training, education abroad initiative, global internship, exchange program, or activity undertaken by URep Abroad on behalf of a Client.

Personal Information / Personal Data: any information relating to an identified or identifiable individual.

Service: All consulting, training, development, staffing, and support services provided by URep Abroad, including in-person, virtual, and hybrid delivery.

Service Provider / Data Processor: refers to third-party companies or Persons employed by the Company to process the data on behalf of the Company, facilitate the Service, provide the Service, or assist the Company in analyzing how the Service is used.

Statement of Work (“SOW”): a detailed document defining scope, deliverables, timeline, fees, and responsibilities for a specific engagement.

Terms and Conditions (“Terms”): these Terms and Conditions that form the entire Agreement between You and the Company regarding the use of the Service.

Third-party Social Media Service: any services or content (including data, information, products, or services) provided by a third-party that may be displayed, included, or made available by the Service.

You: the individual accessing or using the Service, or the Company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Website: refers to URep Abroad, accessible from www.urepabroad.com

Acknowledgement

For the purposes of these Terms and Conditions. These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions.

These Terms and Conditions apply to all visitors, users, and others who access or use the Service. You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, You may not access the Service. Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures for the collection, use, and disclosure of Your personal information when You use the Application or the Website, and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Placing Orders for Goods

By placing an Order for Goods through the Service, You warrant that You are legally capable of entering into binding contracts.

Participant Information


If your engagement involves Participants, you agree that:

• You have obtained informed consent and necessary permissions from all participants to share their information with URep Abroad for program delivery.

• Participant data includes: name, contact info, educational background, citizenship/visa status (if relevant), dietary/accessibility needs, emergency contacts, assessment results, and feedback. Participant payment data may also include, without limitation: phone number, credit card number, credit card expiration date, billing address, and shipping information.

• URep Abroad processes participant data solely for program delivery, evaluation, and continuous improvement. Sensitive data (minor information, health data, citizenship) is handled in accordance with our Privacy Policy and applicable laws.

Data Collection and Platform Usage

Third-party platforms (such as Google Forms, Mailchimp, Airtable, or similar services) may collect Participant data in compliance with their own privacy policies. Participants in webinars, events, or videos may utilize platforms such as Zoom, Google Hangouts, or similar services. Please be aware that these platforms may collect attendee data in accordance with their respective policies. URep Abroad shall not be held responsible for any data collection conducted by third-party platforms. Participants are encouraged to review the privacy policies of any platform used.

Recording Consent

Participant may be recorded for educational, internal, marketing, or social media purposes. Participation constitutes consent unless notified in advance.

Our Services (What We Do)

 

URep Abroad provides specialized training and educational services exclusively for education-focused companies, organizations, and institutions. Our primary service areas include:

Intercultural Training: Interactive workshops and training on intercultural and cross-cultural communication, cultural competency, and cultural adjustment for students, faculty, or staff.

Program Development: Research, design, and partnership co-creation for launching or expanding global initiatives, including curriculum design and syllabus development.

Program Staffing Support: Flexible, short-term staffing for projects, transition gaps, student leadership programs, or specialized expertise.

Custom Deliverables & Work Product

For work created specifically for your organization (custom curricula, program designs, materials tailored to your institution, reports, assessments), Client retains ownership upon full payment of fees, subject to the following:

URep Abroad retains a non-exclusive license to use de-identified outputs for research, case studies, and continuous improvement

URep Abroad may reference your organization as a past client or partner (with your permission for testimonials or case studies).

Client may not resell or redistribute URep-created materials without explicit written permission.

Scope of Work & Changes

The specific scope of work, deliverables, timeline, and fees for any engagement shall be defined in a separate Statement of Work (SOW). Additional services or modifications beyond the agreed SOW require written notice and may result in adjusted fees and timelines. URep Abroad will provide an estimate and written approval before proceeding with out-of-scope work. Client-requested changes that extend timelines do not entitle Client to refunds for previously paid fees.

Standard of Performance

URep Abroad commits to delivering services professionally and competently, consistent with industry standards in international education. However:

We do not guarantee specific outcomes for students, programs, or organizations (e.g., enrollment targets, student learning gains, successful placements)

Services are delivered based on mutual collaboration; Client assumes responsibility for implementation and final outcomes

We reserve the right to adapt delivery methods to meet Client’s needs and constraints

Professional Standards

All participants and organizational representatives agree to:

Treat URep Abroad staff, trainers, and fellow participants with respect;

Comply with laws and regulations of countries where programs are located;

Follow any Code of Conduct provided by URep Abroad or Partner organizations;

Respect cultural differences and avoid discriminatory, harassing, or abusive behavior;

Represent your organization professionally in interactions with URep Abroad and partner organizations.

Consequences of Misconduct

If a participant or organization representative violates this Code of Conduct, URep Abroad may:

Issue a written warning with an opportunity to remedy (for minor violations)

Suspend participation in program activities (for serious violations)

Terminate engagement immediately (for severe violations or repeated misconduct)

Report to authorities if behavior constitutes criminal activity, sexual misconduct, or threat to safety.

Withhold certificates, grades, or program credits for non-completion due to misconduct

Pursue legal action for damages if conduct results in financial loss or harm to URep Abroad or other participants

Prices Policy


The Company reserves the right to revise its prices at any time prior to accepting a Service request. The Company may revise quoted prices after accepting a Service if any occurrence affects delivery, including government action, changes in customs duties, increased shipping charges, higher foreign exchange costs, or any other matter beyond the Company’s control. In that event, You will have the right to cancel the Service in accordance with the Statement of Work.

Payment Terms & Conditions

Fees & Pricing

Service fees are specified in the Statement of Work or Service Agreement, along with any additional costs (travel, materials, third-party expenses)

Pricing may vary based on scope, geographic location, duration, number of participants, and customization level

All fees are in U.S. Dollars (USD) unless otherwise stated

Promotions

Any Promotions made available through the Service may be governed by rules that are separate from these Terms. If You participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

No Long-term Contracts & Flexible Engagement

 

No Mandatory Commitments

URep Abroad does not require long-term contracts or minimum engagement periods. This is a core feature of our service model:

Engagements are structured on a project-by-project or hourly basis with a minimum hourly requirement

Clients may request services for a single workshop, a one-time program, or ongoing support

Either party may terminate an engagement by providing notice as detailed in the SOW.

 

Flexibility & Scalability

We accommodate varying budget levels and can tailor services to your organization’s constraints.

Representations & Warranties


URep Abroad represents and warrants that:

• Authority: URep Abroad is authorized to provide the services described

• Professional Competence: Services will be performed in a professional manner consistent with industry standards in international education consulting

• No Infringement: Pre-existing URep Abroad materials do not infringe third-party intellectual property rights (except for partner organization materials provided by Client)

• Confidentiality: URep Abroad will maintain confidentiality of Client information per the Privacy Policy and this Agreement

• Compliance: URep Abroad will comply with applicable data protection laws (CCPA/CPRA, GDPR, LGPD, PIPL)

URep Abroad does NOT warrant:

• Specific participant learning outcomes or program success

• Partner organization performance, reputation, or compliance with laws

• Visa approvals or immigration outcomes

• Absence of risks in program locations

Indemnification & Third-Party Claims


Client Indemnifies URep Abroad

Client agrees to indemnify, defend, and hold harmless URep Abroad, its owners, employees, contractors, and partners from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Client’s use of our services in violation of these Terms or applicable law

• Participant conduct or misconduct (including harassment, discrimination, illegal activity, violation of Partner organization policies)

• Client-provided materials or information (including inaccurate participant data, non-disclosure ofhealth/safety issues, misrepresentation of credentials)

• Client’s failure to obtain required consents, permissions, or authorizations from participants or third parties

• Claims by participants alleging URep Abroad failed to disclose information

• Claims arising from partner or partner organization conduct or services where Client failed to notify URep Abroad of known risks or issues

• Client shall provide prompt written notice of any claim and cooperate fully with URep Abroad defense.

Assumption of Responsibility & Acknowledgments


Client Responsibility for Outcomes

• Client acknowledges that program success depends on Client’s implementation, not URep Abroad services alone

• Participants’ learning outcomes, behavior, and success are ultimately Client’s responsibility

• Partner organization performance is the Partner’s responsibility, not URep Abroad’s (URep provides recommendations and vetting guidance, not guarantees)

• Client will communicate clearly with participants about program expectations, risks, and code of conduct before departure

• Client is responsible for monitoring participant wellbeing during programs and investigating concerns promptly

Intellectual Property & Work Product

 

Pre-Existing Materials & Frameworks

URep Abroad retains ownership of all pre-existing materials, frameworks, methodologies, curricula templates, assessment tools, and intellectual property developed before or outside the scope of your engagement, including: Training modules and curricula templates; Assessment and evaluation frameworks; Program design methodologies and checklists; Case studies, research findings, and best practices documentation; All Urep Abroad branding, logos, website content, and marketing materials.

You may use pre-existing materials only as necessary to implement the contracted services. You may not copy, distribute, modify, or sublicense pre-existing materials without written permission.

Confidentiality Obligations

Both parties agree to maintain the confidentiality of:

Non-public business information, pricing, methodology, and strategic plans

Participant information (to the extent not required for program delivery)

Communications and correspondence between parties

Exceptions: Confidentiality obligations do not prevent:

Disclosure required by law (subpoena, court order, regulatory requirement)

Disclosure necessary to protect safety, health, or legal rights

Use of de-identified information for program evaluation or research

Professional consultation with legal/financial advisors

Disclaimers

URep Abroad services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding:

Educational outcomes or learning gains (we cannot guarantee students will achieve specific proficiency levels or grades)

Program success or enrollment targets

Visa approvals or immigration status

Partner organization performance or host employer job placement

Uninterrupted website access or error-free operations

Safety or health outcomes in international locations

Third-party services (airlines, hotels, visa agencies, host or partner organizations)

We do not warrant that:

Services will meet your expectations or specific needs

Participants will successfully complete programs

Programs will operate as originally planned if circumstances change

Information on our website is complete, accurate, or current
